Implementing Section 172 of the UK Companies Act 2006

There have been significant changes in the business environment since the Companies Act was enacted in 2006.

As a result, interpretation has changed. This particularly applies to Section 172, which imposes a general duty on every company director to act in the way they consider, in good faith, would be most likely to promote the success of the company for the benefit if its shareholders as a whole.
