Develop your Understanding on Roles and Responsibilities of Directors and Corporate Secretaries and Enrich the Knowledge of Corporate Governance and Board Behaviour
Corporate governance is the system of rules, practices and processes by which a company is directed and controlled. Corporate governance essentially involves balancing the interests of a company’s many stakeholders, such as shareholders, management, customers, suppliers, financiers, government and the community. Since corporate governance also provides the framework for attaining a company’s objectives, it encompasses practically every sphere of management, from action plans and internal controls to performance measurement and corporate disclosure.
Governance refers specifically to the set of rules, controls, policies and resolutions put in place to dictate corporate behaviour. Proxy advisors and shareholders are important stakeholders who indirectly affect governance, but these are not examples of governance itself. The board of directors is pivotal in governance, and it can have major ramifications for equity valuation, access to finance and major contracts.
This workshop is delivered as a masterclass, in which the delegates and course leader jointly identify their personal needs and design the programme. This will enable the leader to reflect a different balance according to the mix between directors, administrators and regulators.
Delegates receive a comprehensive workbook, a copy of the Malaysia Code on Corporate Governance and a 50-page collection of case studies.
Practising Good Corporate Governance During COVID-19 Pandemic Times.
A two-day masterclass to explore how governance practices should evolve to improve resilience in the light of the COVID-19 pandemic experience.
With the major shakeup of business practices and the economic environment, boards have been forced to react to a fast changing and possibly unanticipated situation in which they have needed to make difficult decisions under new circumstances.
Whatever their past business strategy, the need for resilience is likely to have become a higher priority.
This masterclass will address the challenges being faced by boards and the means of increasing agility and resilience.
Corporate governance is the system by which companies are directed and controlled. Boards of directors are responsible for the governance of their companies; their actions are subject to laws, regulations, reporting and to the shareholders in general meeting. The pandemic has demonstrated that, although compliance remains important, it is the effectiveness of the board and senior management in developing an agile and resilient business strategy that delivers the long-term interests of shareholders and stakeholders.
This masterclass will cater for those chairmen, directors, company secretaries and C-suite officers faced with guiding the business through change and building a resilient foundation for the ‘new normal’.
This three-day workshop was designed and delivered for the board of an Ethiopian insurance company
The advantage of training a team from a single company is that concepts can be applied to real situations and the team develops a common understanding and language to facilitate effective implementation of the learning.
The workshop was delivered over three days. The first day concentrated on the fundamentals of corporate governance. On the second day, we focused on the roles, responsibilities and challenges of becoming a director. A further session introduced risk. The final day covered strategy, from building an effective board to scenario planning.
A course to help leaders maximise their potential in order to increase profitability for their organisations in current turbulent times.
Although many aspects of leadership are generic, this course is specifically aimed at C-Suite leaders, with examples and application directly relevant to leadership of organisations.
The course is delivered as a masterclass with a high level of participation and interaction appropriate to individuals at senior level. It features a mix of presentations, discussion and small group working, using PowerPoint, whiteboards and virtual meeting rooms. The accompanying comprehensive workbook provides an additional resource for use during the course and as a reference/revision tool thereafter.
On day one the course focuses on the authenticity of the individual leader and on day two it moves to the practical application of tools and processes to improve effectiveness and thus maximise profitability in these turbulent times.
The course concludes with each participant building a personal model of leadership and creating an action plan.
This course formed the foundation of the video programme: The Strategic Company Secretary Masterclass.

The first day deals with the roles and functions of a company secretary, and introduces corporate governance and company directors. The focus is on the use of this knowledge in support of directors and boards. The second day, "Building a Better Board and Board Support", puts this into practice, with an exploration of roles and relationships with directors and the board. Corporate governance and risk are introduced.
Director effectiveness is the theme of the third day, covering the culture, structure and behaviour of an effective board. Finally, there is a focus on meetings, including role play.
This training is designed to provide management executives a structured approach to decision analysis and making while improving the quality of decisions that will affect the organisation as a whole.
With fierce competitiveness within the Middle East region, companies are faced with the lack of corporate confidence in the selection of projects and their options. Whether it is an organisational or process re-structuring or something as technical as construction and engineering decisions; there is a perception of possible missed opportunities and potential of bad decisions leading to disasters.
The resurrection of existing projects and upcoming new projects in the region has caused a shift in demand for specific skills and roles within the heavy industries. At the same time, GCC governments have stated a renewed collective commitment to increase nationalisation programmes. Since the introduction of nationalisation, the private and public sectors are faced with difficulties in achieving quota targets especially in heavy and technical industries such as construction, oil and gas and infrastructure.
This unique 2-Day Effective Decision Making for Heavy Industries training will offer a structured and practical approach to decision analysis. Participants who are responsible for decision making in complex environments whilst dealing with vast amount of information will particularly find this training useful. This event will enable decision makers to relate issues and decisions to organisational financial, tactical and/or strategic objectives through data, expertise, assumptions and multiple decision levels and make the best decision.
Develop your Ability to Support Others in Realising Their True Potential. Learn how to always know what to say in just the right way at just the right moment.
Some people are natural coaches, and can be very effective without any training at all. Natural coaches seem always to get the best out of people. How do they do it? What is the key to their success?
Unless you wish to train as a professional coach, it is much more important to adopt the right mindset so that you think and behave like a natural coach, rather than to learn lots of technique.
The most subtle and effective coaching is invisible; the person being coached is not conscious of being coached - they just become more aware of the issues and options, and more open to change.
The Invisible Coaching programme is an opportunity to:
Learn and practise powerful coaching skills that can be immediately applied anywhere
Explore specific applications of coaching that can release and develop latent skills in others
Learn to improve relationships and communication with colleagues, family and friends
The workshops are very interactive, with plenty of opportunities for you to learn by coaching others and will be followed by BytesizedLessons™ delivered by email.
These reminders and exercises ensure that the learning is retained, and that further progress is made when you start to apply the learning in practice.
At the end of the workshop you will have a deep understanding and appreciation of the power and application of coaching, together with a set of inter-personal skills that can add tremendous value in your professional and personal lives.
You will always know just the right question to help someone, and will notice that life gets easier, as you become more effective with less stress.
The most important stage in any project is to decide what you want to achieve. This is where Richard can help - even before you decide to work with him. Richard's inquisitive mind and natural ability to bring structure and clarity to your thinking will help discover and crystallise the issues and determine an outcome.
