Corporate governance is the system of rules, practices and processes by which a company is directed and controlled. Corporate governance essentially involves balancing the interests of a company’s many stakeholders, such as shareholders, management, customers, suppliers, financiers, government and the community. Since corporate governance also provides the framework for attaining a company’s objectives, it encompasses practically every sphere of management, from action plans and internal controls to performance measurement and corporate disclosure.
Governance refers specifically to the set of rules, controls, policies and resolutions put in place to dictate corporate behaviour. Proxy advisors and shareholders are important stakeholders who indirectly affect governance, but these are not examples of governance itself. The board of directors is pivotal in governance, and it can have major ramifications for equity valuation, access to finance and major contracts.
This workshop is delivered as a masterclass, in which the delegates and course leader jointly identify their personal needs and design the programme. This will enable the leader to reflect a different balance according to the mix between directors, administrators and regulators.

A two-day masterclass to explore how governance practices should evolve to improve resilience in the light of the COVID-19 pandemic experience.
With the major shakeup of business practices and the economic environment, boards have been forced to react to a fast changing and possibly unanticipated situation in which they have needed to make difficult decisions under new circumstances.
Whatever their past business strategy, the need for resilience is likely to have become a higher priority.
This masterclass will address the challenges being faced by boards and the means of increasing agility and resilience.

Boards of directors are responsible for the governance of their companies; their actions are subject to laws, regulations, reporting and to the shareholders in general meeting. The pandemic has demonstrated that, although compliance remains important, it is the effectiveness of the board and senior management in developing an agile and resilient business strategy that delivers the long-term interests of shareholders and stakeholders.
This masterclass will cater for those chairmen, directors, company secretaries and C-suite officers faced with guiding the business through change and building a resilient foundation for the ‘new normal’.

The advantage of training a team from a single company is that concepts can be applied to real situations and the team develops a common understanding and language to facilitate effective implementation of the learning.
The workshop was delivered over three days. The first day concentrated on the fundamentals of corporate governance. On the second day, we focused on the roles, responsibilities and challenges of becoming a director. A further session introduced risk. The final day covered strategy, from building an effective board to scenario planning.

Although many aspects of leadership are generic, this course is specifically aimed at C-Suite leaders, with examples and application directly relevant to leadership of organisations.
The course is delivered as a masterclass with a high level of participation and interaction appropriate to individuals at senior level. It features a mix of presentations, discussion and small group working, using PowerPoint, whiteboards and virtual meeting rooms. The accompanying comprehensive workbook provides an additional resource for use during the course and as a reference/revision tool thereafter.
On day one the course focuses on the authenticity of the individual leader and on day two it moves to the practical application of tools and processes to improve effectiveness and thus maximise profitability in these turbulent times.
The course concludes with each participant building a personal model of leadership and creating an action plan.

The Strategic Company Secretary is a practical and comprehensive multi-media training programme designed for governance professionals who wish to play a. more strategic role at board level. It is delivered in short easy-access modules to support the time challenges of busy executives.
The programme is designed for company secretaries, governance professionals, chairmen and aspiring governance professionals.
The first day deals with the roles and functions of a company secretary, and introduces corporate governance and company directors. The focus is on the use of this knowledge in support of directors and boards. The second day, "Building a Better Board and Board Support", puts this into practice, with an exploration of roles and relationships with directors and the board. Corporate governance and risk are introduced.
Director effectiveness is the theme of the third day, covering the culture, structure and behaviour of an effective board. Finally, there is a focus on meetings, including role play.
